Dye & Durham announced today that, following an indication of interest from a shareholder group led by management to acquire the Company, its board of directors has\u00a0commenced a process to\u00a0explore\u00a0 and\u00a0 evaluate\u00a0 potential\u00a0 strategic\u00a0 alternatives\u00a0 focused on maximizing shareholder value. The indication of interest would result in Dye & Durham being taken private at an approximate 23% premium to the current market value, being a per share value of\u00a0$50.50<\/span>.<\/p>\n

The strategic process will be led by a newly formed special committee of independent directors, and is fully supported by the Company’s management team. The alternatives to be explored in connection with the strategic process could include, among other things, the sale\u00a0 of\u00a0 part\u00a0 or\u00a0 all\u00a0 of\u00a0 the\u00a0 Company,\u00a0 a\u00a0 sale\u00a0 of\u00a0 some\u00a0 of\u00a0 the\u00a0 assets\u00a0 of\u00a0 the\u00a0 Company,\u00a0 a\u00a0 merger\u00a0 or\u00a0 other business combination with another party, or other strategic transactions.<\/p>\n
