(collectively, the &#8220;<b>Underwriters<\/b>&#8220;) in respect of a secondary offering on a bought deal basis of an aggregate of 4,107,000 common shares of the Company (the &#8220;<b>Shares<\/b>&#8220;) by Plantro Ltd. (&#8220;<b>Plantro<\/b>&#8220;), The Manufacturers Life Insurance Company, Seastone Invest Limited, and certain insiders of the Company (collectively, the &#8220;<b>Selling Shareholders<\/b>&#8220;) at a price of\u00a0<span class=\"xn-money\">$42.75<\/span>\u00a0per Share (the &#8220;<b>Offering<\/b>&#8220;).
