TORONTO<\/span><\/span>,\u00a0Aug. 29, 2023<\/span><\/span>\u00a0\/CNW\/ – Dye & Durham Limited (“Dye & Durham<\/b>” or the “Company<\/b>“) (TSX:\u00a0DND<\/a>) today announced the extension the Company’s ongoing substantial issuer bid (the “Offer<\/b>“), pursuant to which the Company has offered to repurchase for cancellation up to\u00a0$52,000,000<\/span>\u00a0principal aggregate amount of its issued and outstanding 3.75% convertible senior unsecured debentures due\u00a0March 1, 2026<\/span>\u00a0(the “Debentures<\/b>“). The expiry date of the Offer has been extended to\u00a05:00 p.m. (Eastern time)<\/span>\u00a0on\u00a0September 14, 2023<\/span>\u00a0(the “Expiry Date<\/b>“), unless further extended, varied or withdrawn by the Company. All other terms of the Offer remain unchanged.<\/p>\n

Details of the Offer, including instructions for tendering Debentures, are included in the formal offer to purchase (the “Offer to Purchase<\/b>“) and issuer bid circular dated\u00a0July 25, 2023<\/span>, as amended by the notice of variation and extension dated\u00a0August 29, 2023<\/span>\u00a0(the “Notice of Variation<\/b>” and, collectively with the letter of transmittal and the notice of guaranteed delivery, the “Offer Documents<\/b>“). The Notice of Variation will be mailed to debentureholders, filed with applicable Canadian securities regulatory authorities and made available without charge on SEDAR at\u00a0www.sedar.com<\/a>. Debentureholders should carefully read the Offer Documents prior to making a decision with respect to the Offer.<\/p>\n

Debentureholders who have validly deposited and not withdrawn their Debentures are not required to take any further action to accept the Offer. Debentures previously deposited may be withdrawn by or on behalf of the depositing debentureholder by following the procedures set forth in Section 6 of the Offer to Purchase entitled “Withdrawal Rights”. The Company will take up and pay for Debentures validly deposited under the Offer pursuant to the terms and conditions of the Offer<\/b>\u00a0Documents.
